Investment Club Membership Terms

Membership is private and by invitation or approval only. Nothing on this website is a public offer, and no capital market instrument is offered to the public. Any co-investment is offered privately to a limited number of qualified persons, within the private placement and qualified investor rules of SPK, and outside any public offering requiring an approved prospectus.

Candidates must be at least 18, have full legal capacity, and qualify as experienced or qualified investors (for example under the SPK definition of qualified investor, or equivalent rules in their own country). We may decline any application without giving reasons.

Before joining, members complete identity verification, source-of-funds and beneficial ownership checks, and sanctions screening in line with Law No. 5549, Law No. 6415 on the Prevention of the Financing of Terrorism and MASAK regulations. Membership is not possible without these checks.

Each opportunity is documented separately, typically through a joint stock company (anonim şirket) or special purpose vehicle under the Turkish Commercial Code No. 6102, with its own shareholders' agreement, information memorandum and subscription documents. Those documents, not this website, govern rights, fees and obligations. Membership alone gives no right to any investment, return or allocation.

Members agree to keep information on opportunities confidential, sign a non-disclosure agreement where requested, disclose conflicts of interest, and not use non-public information in breach of the market abuse rules of Law No. 6362. Members may leave the club at any time by written notice; existing investment commitments continue under their own documents.
